Terms & conditions of business of John Sainsury (Office Equipment) Ltd, trading as Sainsbury & Sainsbury, hereafter referrred to as "The Company".
Acceptance:
The acceptance of an order by the company will be exclusively subject to these conditions, which are complete and exhaustive and which shall accordingly take precedence over and exclude any terms or conditions which the purchaser may purport to intoduce, even if such conditions may contain a condition similar to this. All other forms, conditions, warranties, guarantees and representations (express or implied, statutory or otherwise) are hereby expressly excluded.
Pricing:
All prices are subject to VAT at the prevailing rate in force at the date of delivery. The standard times for delivery and installation, where applicable, are 09.30 - 16.30 Monday to Friday, excluding Bank or Public Holidays. Delivery or installation outside these times will be chargeable at increased rates. Please contact us for a specific quotation. Prices quoted in an estimate, quotation, price list or catalogue are subject to variation by the company without notice.
Delivery:
The company will do all within it's power to meet delivery dates, but shall be under no liability to the purchaser for delay in estimated delivery times or failure to deliver for any cause. Claims relating to defective or damaged goods must be made within 24 hours of receipt of goods. Claims relating to defective or damaged goods must be made within 24 hours of receipt of goods.
Liability:
Under no circumstances will the company be liable to the purchaser for any loss of profits or any other indirect or consequential damage or injury attributable to defects in the goods or otherwise, in relation to the performance of any contract entered into between the Company and the purchaser.
Cancellation:
The purchaser shall be liable for any non-recoverable costs incurred by the Company. All cancellations must be confirmed in writing within 48 hours of any verbal notification.
Returns:
No returns will be accepted without the prior consent of the company. Office Supplies can be returned within 5 working days from the date of delivery and must be in their original packaging and in a re-saleable condition. Office furniture is manufactured to order and are non-returnable except for instances of damage or defect.
Delay:
If the purchaser seeks to extend or delay delivery of the goods, or refuses to accept delivery at the agreed time, the company reserves the right to invoice the purchaser from the date of the original expected delivery date and reserves the right to make a charge for disruption, loss of profit, storage costs or additional transport costs caused by the purchaser's actions.
Payment Terms:
Payment terms for approved, established purchasers are full payment within 30 days from the date of delivery. Any variation from this must be obtained in writing from the company.
Overdue Payments:
The company reserves the right to withdraw credit facilities where accounts are not settled by the due date and all invoices, whether or not due for payment, become due for payment. The Company reserves the right to charge interest at 5% above the current base rate of Barclays Bank PLC on any invoice or part thereof not paid by the due date.
Guarantee:
The supplier's guarantee is given subject to the products being used for the purpose for which they are designed, with the exception of fair wear and tear.
Descriptions:
All descriptions, illustrations, particulars of weights and dimensions contained in the Company's catalogues, price lists or advertising matter are subject to amendment without previous notice and are intended merely as a guide and shall not form part of the contract unless specifically agreed in the contract.
Title Of Goods:
Until the purchaser has paid the Company the full price of the goods, the ownership of the goods shall not pass to the purchaser and shall remain with the Company.
